Terms of use

These terms govern the use of the spun.social website and of the SPUN Social service, provided by SPUN S.r.l., Corso E. Padovano 33, Pagani (SA), Italy · VAT IT06011400659 · REA SA-490544 · share capital € 10,000 fully paid · hello@spun.ai ("SPUN", "we"). The Italian version is the reference text.

By creating an account or using the service you accept these terms. If you use SPUN Social on behalf of a company or a client, you confirm that you can bind it to these terms.

1. The service

SPUN Social is an online platform to plan, write and publish content on several social accounts: calendar and publishing queues, AI Studio to write and create content, connection of social accounts, groups by client or brand, team members, bulk posts from CSV files, publishing from RSS feeds and the other features listed in the price list of the chosen plan.

The service publishes through the official interfaces (APIs) of the social platforms. The features available for each platform depend on its rules and may change when the platform changes its APIs or terms. SPUN is not affiliated with the social platforms: their names and trademarks belong to their respective owners.

2. Account

To use the service you must be an adult and provide true and up-to-date information.
You are responsible for keeping your credentials confidential and for what happens with your account and in your workspace, including the activity of the members you invite. If you think someone has used your account without permission, write to us right away.
An account is personal; to let other people work, use the workspace members included in your plan.

3. Plans, free trial and payments

Plans and prices. The plans, their limits (posts, channels, storage, people, credits) and the prices are those published on the pricing page at the time of purchase. Prices are in euro; any taxes apply according to the law and are shown before payment.
Free trial. Each plan may include a free trial, for the length shown in the price list. The length and conditions of the trial are shown to you before activation.
Monthly and yearly. If you activate a monthly or yearly plan as a subscription, it renews at the end of each period for the same length until you cancel it, from the account area where available or by writing to us. Cancellation takes effect at the end of the period already paid.
Lifetime. With a one-time payment you get the chosen plan, with its limits, for as long as SPUN provides SPUN Social. It does not include plans or features introduced later, unless stated otherwise.
AI credits. The credits included in the plan are for AI Studio, cannot be converted into money and, unless stated otherwise, do not carry over to the next period.
Payments through the providers shown at the time of purchase (for example Stripe and PayPal), under their terms.
Failed payment. If a payment fails we may limit the account, after telling you, until the situation is settled.

4. Consumer right of withdrawal

If you use the service as a consumer, you may withdraw from the contract within 14 days of its conclusion without giving any reason (art. 52 and following of the Italian Consumer Code), by writing to hello@spun.ai. We refund you within 14 days using the same payment method. If you asked to start using the service before the end of that period, you owe an amount proportionate to the service provided until withdrawal (art. 57 of the Italian Consumer Code).

If you act for professional or business purposes the right of withdrawal does not apply; you can still cancel the subscription as described in section 3.

5. Your content

The content you upload, write or publish remains yours or belongs to whoever granted it to you.
To provide the service you grant us the right to store it, process it, adapt it to the platforms' formats and publish it as you instruct, only for the time and within the limits needed to provide SPUN Social.
You are responsible for what you publish: you must hold the rights to the texts, images, videos, trademarks and music you use, and the consent of the people who appear in the content where needed.

6. Acceptable use

By using SPUN Social you agree to comply with the law and with the terms of each social platform you publish on. In particular you may not use it to:

publish unlawful, defamatory, discriminatory, violent or misleading content, or content that infringes third-party rights;
send spam, create fake engagement or circumvent the platforms' limits and rules;
spread malicious software or try to access SPUN's or anyone else's systems without permission;
copy, decompile or resell the service, or extract data from it automatically, except where the law allows it.

If content or a use breaches these terms we may remove it or suspend the account, normally after warning you; without notice only in serious cases or when the law requires it.

7. AI-generated content

AI Studio uses third-party artificial intelligence models. The results may be inaccurate, incomplete or similar to other people's content: always read and check them before publishing. The decision to publish, and responsibility for what you publish, remain yours. Where the platforms or the law require it, it is up to you to disclose that content was generated or edited with artificial intelligence.

8. Connected social accounts

You connect social accounts through each platform's official procedure and you can revoke access at any time, from SPUN Social or from the platform's settings. We use the permissions granted only for the actions you request: publishing, scheduling and reading the data needed to do so. We are not responsible for the platforms' decisions about your accounts, for example restrictions, suspensions or API changes.

9. SPUN's intellectual property

The software, the SPUN trademark, the website and the materials of SPUN Social belong to SPUN S.r.l. or its licensors. We grant you a limited, non-exclusive and non-transferable licence to use the service according to the chosen plan and for its duration.

10. Availability and support

We work to keep the service available and secure, but we cannot guarantee that it will always be free of interruptions or errors. Maintenance may be needed, which we try to carry out at quieter times and, where possible, announce. Publishing also depends on the availability of the social platforms. 11. Liability

SPUN is liable for damage caused by wilful misconduct or gross negligence and in the other cases where the law does not allow liability to be limited (art. 1229 of the Italian Civil Code).
Outside these cases, and if you act for professional purposes, SPUN is not liable for indirect damage, such as lost profits or lost opportunities, and its total liability is limited to the amounts you paid for the service in the 12 months before the event.
SPUN is not liable for the content you publish or for the actions of the social platforms and other third-party services.
If you are a consumer, all the rights granted to you by the Italian Consumer Code remain unaffected.

12. Duration, suspension and closure

The contract lasts as long as your account is active. You can close the account whenever you want, from the account area where available or by writing to us.
We may suspend or close the account in case of a serious breach of these terms or of non-payment, after telling you.
Before closure you can ask us for a copy of your content. After closure the data is deleted within the times set out in the privacy notice.
If we decided to stop providing SPUN Social, we would tell you at least 60 days in advance, so that you can retrieve your content.

13. Personal data

We process your data as described in the privacy notice. For the personal data contained in your clients' content, SPUN acts as a processor on your behalf; the data processing agreement is available on request.

14. Changes to the terms

We may update these terms when the service or the law changes. We announce important changes at least 30 days in advance, by email or in the service. If you do not accept them, you can close the account before they take effect; for plans already paid, the conditions accepted at the time of purchase remain valid until they expire.

15. Governing law and jurisdiction

These terms are governed by Italian law. If you are a consumer, the court of the place where you live has jurisdiction over any dispute. In all other cases the Court of Nocera Inferiore (Italy) has exclusive jurisdiction.
